Acceptance of Terms

Welcome to Influence Marketing Pace ("Platform," "we," "us," or "our"). By accessing or using our website located at [YourWebsiteURL] and any related services, applications, or tools (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you are not authorized to use the Services.

Definitions

Brand means a User seeking to engage Influencers for marketing campaigns.
Influencer means a User who creates and publishes content on social media or other channels and seeks to collaborate with Brands.
Campaign means a marketing project created by a Brand on the Platform to which Influencers can apply or be invited.
Content means any text, graphics, images, music, software, audio, video, information, or other materials posted or generated through the Services.

Description of Service

Influence Marketing Pace is a platform that facilitates connections between Brands and Influencers for the purpose of creating and executing influencer marketing campaigns. We provide the tools for campaign listing, proposal submission, communication, and payment facilitation. We are not a party to any agreement between Brands and Influencers. We are not responsible for the performance, conduct, or outcome of any Campaign.

User Accounts & Eligibility

You must be at least 18 years old to use the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
You may not create an account for anyone else or use an account that you are not authorized to use.

User Responsibilities & Conduct

For All Users: You agree not to post, upload, or transmit any Content that is unlawful, fraudulent, threatening, abusive, defamatory, obscene, or that infringes on any intellectual property or privacy rights of a third party.
For Brands: You are responsible for creating clear, lawful Campaign briefs. You agree to pay Influencers as agreed upon via the Platform's tools and in accordance with the payment terms.
For Influencers: You represent that you own or have the necessary licenses, rights, and permissions to all Content you submit. You agree to perform services professionally and in accordance with the Campaign brief and any agreement with the Brand.
Prohibited Activities: You agree not to engage in spamming, circumventing the Platform's payment system, misrepresenting your identity or follower metrics, or scraping data from the Platform.

Financial Terms & Fees

Service Fee: Influence Marketing Pace charges a service fee (a percentage of the Campaign value) for facilitating the transaction. This fee will be clearly disclosed before a Campaign is finalized. The fee is deducted from the total payment before funds are released to the Influencer.
Payment Processing: All payments must be processed through the Platform's designated payment gateway. Off-platform payments are strictly prohibited and may result in account termination.
Taxes: Users are solely responsible for any taxes, including VAT, sales tax, or income tax, applicable to their earnings or payments made through the Platform.

Intellectual Property

Platform IP: All rights, title, and interest in the Services (including software, design, trademarks, and logos) are and will remain the exclusive property of Influence Marketing Pace and its licensors.
User Content: By submitting Content to the Platform, you grant Influence Marketing Pace a worldwide, non-exclusive, royalty-free license to use, display, and distribute that Content as necessary to provide the Services (e.g., showcasing an Influencer's portfolio).
Campaign Content: Intellectual property rights for Content created by an Influencer for a specific Brand Campaign (e.g., photos, videos, blog posts) will be governed by a separate agreement between the Brand and the Influencer. It is the responsibility of both parties to define ownership, usage rights, and licensing terms within the Platform's agreement tools or a separate written contract. We strongly advise Users to formalize these terms.

Disclaimers & Limitation of Liability

"As Is" Service: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
No Guarantee: We do not guarantee the accuracy of User profiles, the success of any Campaign, or the availability of the Services at all times.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFLUENCE MARKETING PACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES OR INTERACTIONS WITH OTHER USERS.

Indemnification

You agree to indemnify and hold harmless Influence Marketing Pace, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another User or third party.

Termination

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct we believe violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

Dispute Resolution Between Users

Influence Marketing Pace encourages Brands and Influencers to resolve disputes directly. We may, at our discretion, provide tools to assist in mediation but have no obligation to intervene. Any legal action between Users must be pursued independently of the Platform.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Governing Law & Contact
